L’Occitane Limited – Tax Strategy
This published tax strategy complies with Schedule 19 of the UK Finance Act 2016 in respect of our financial year ending March 31st, 2025.
This document sets out the tax strategy of L’Occitane International SA and its subsidiaries, including L’Occitane Limited (L’Occitane Group).
Governance
The governance of our business is led by the Board of Directors, which is committed to ensuring that L’Occitane Group continues to meet its business, financial and sustainability objectives. The Board of Directors also has overall responsibility for governance, risk management and any decision made in relation to taxation.
The L’Occitane Group tax strategy is reviewed by the Audit Committee annually. The Chief Financial Officer (CFO) and the Group Tax Director, reporting to the CFO, are responsible for management of the tax affairs of the group. Day to day administration of the tax matters is delegated to the management of each Group entity. L’Occitane Group regularly seeks professional opinions and advices from independent external advisors on tax matters.
Tax Risk and Tax Planning
L’Occitane Group acts as a responsible global corporate tax citizen in compliance with applicable tax law and regulations.
L’Occitane Group seeks to comply with all tax filling, tax reporting and tax payment obligations.
L’Occitane Group is committed to acting with integrity and transparency in all tax matters.
From time to time, L’Occitane Group views (or those of our advisors) on the appropriate tax treatment in any given case may differ from those of the tax authorities. Where such circumstances arise, L’Occitane Group will work constructively and proactively with the tax authorities with a view to achieving an early resolution to any matters arising.
L’Occitane Group has a low tolerance toward tax risks and do not undertake transactions led by a tax planning purpose.
L’Occitane Group supports initiatives to improve international transparency on taxation matters, including Organisation for Economic Co-operation and Development (OECD) measures on Country-by-Country reporting and automatic information exchange.
Tax Disclosure
L’Occitane group understand the value of the financial reporting to customers, investors and other shareholders. L’Occitane Group works to provide enhanced, transparent and balanced disclosure in communicating its tax affairs.
Relationship with Her Majesty’s Revenue & Customs (HMRC)
L’Occitane Group is committed to complying with its tax obligation and maintaining good relationship with HMRC. L’Occitane Group is committed to prompt disclosure and transparency in all tax matters with HMRC.

Modern slavery is a crime and a violation of fundamental human rights. It takes various forms, such as slavery, servitude, forced and compulsory labour and human trafficking, all of which have in common the deprivation of a person's liberty by another in order to exploit them for personal or commercial gain. L’OCCITANE has a zero-tolerance approach to modern slavery and we are committed to acting ethically and with integrity in all of our business dealings and relationships and to implementing and enforcing effective systems and controls to ensure modern slavery is not taking place anywhere in our own business or in any of our supply chains. L’OCCITANE manufacturing procurement, ensured by its French affiliate Les Laboratoires M&L, is responsible, in both the choice of materials and suppliers / subcontractors. Les Laboratoires M&L have committed to the UN Global Compact member since 2011. We have developed customised tools to guide our teams in developing eco-design products, accessories and boutiques through the choice of materials which are environmental friendly. The choice of suppliers is also guided by sustainable criteria and more particularly by social standards. Hence, for suppliers/sub-contractors operating from areas where the local legal framework is less restrictive than our national standards, reassurance about their social compliance is obtained either through the collection of Social Certification such as SA8000 or BSCI certificate, or through a social audit conducted by an authorised external auditor. Our manufacturing suppliers/sub-contractors are committed to the L’OCCITANE CSR principles by signing the CSR Charter which gathers UN Global Compact based principles for labour, health and safety, environmental and business ethics standards.
SUPPORTING DISTRIBUTION SUBSIDIARIES AND GETTING THEM ON BOARD
Since 2015, procurements made by L’OCCITANE distribution affiliates are also controlled to be compliant with our sustainable requirements. The UK affiliate’s main procurements relate to accessories, printing, gifts… and its majority are sourced from UK-based suppliers. For those operating outside the UK and where the local social framework is less restrictive, social certification and audits are in place to ensure the respect of social standards. Moreover, L’OCCITANE is a member of SEDEX: the world’s largest collaborative platform for managing and sharing ethical supply chain data. Our UK affiliate is the Group pilot in using this tool and its involvement will increase even more its ability to assess social risks when dealing with suppliers.RESPONSIBILITY FOR THE POLICY
To ensure a high level of understanding of the risks of modern slavery and human trafficking in our supply chains and our business, we provide training to relevant Associates and also include reference to this in our Associate Handbook. The board of directors has overall responsibility for ensuring this policy complies with our legal and ethical obligations, and that all those under our control comply with it.COMMUNICATION AND AWARENESS OF THIS POLICY
Our zero-tolerance approach to modern slavery must be communicated to all suppliers, contractors and business partners at the outset of our business relationship with them and are reinforced as appropriate thereafter. We also provide this information in our Associate Handbook.
